It can reflect repeat customers, reputation, trained staff, documented systems and the expectation of future earnings that exceed the value of identifiable assets. A medical practice may have furniture and equipment of modest value but retain significant goodwill through patient routines and reliable administration. The analysis must ask how much of that goodwill belongs to the practice and how much depends on the departing practitioner. A patient relationship built around one individual may not transfer in the same way as a documented appointment and billing process.

Preparation is usually more useful than cosmetic improvements made shortly before a sale. Owners can assemble signed leases, tax returns, bank records, asset registers, debtor ageing, supplier agreements, employment details and customer contracts in one indexed folder. Checking that the management accounts reconcile to the lodged accounts also prevents avoidable questions later.
